These Terms of Service ("Terms") govern your access to and use of the website at www.stargentic.us (the "Site"), operated by StarGentic LLC ("StarGentic," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms cover the website only. Engagements for sovereign AI agent design, deployment, or managed operations are governed by a separate written agreement executed between StarGentic and the client. Nothing on this Site, and nothing in these Terms, creates such an engagement or modifies the terms of one already in place. Where a signed client agreement conflicts with these Terms, that agreement controls.

Permitted use

You may access and use the Site for lawful purposes: to learn about our services, evaluate whether we are a fit for your organization, and contact us about an engagement.

You agree not to use the Site to attempt to gain unauthorized access to any portion of the Site, its administrative interfaces, or any connected system; interfere with or disrupt the Site's operation or security controls; probe, scan, or test the vulnerability of the Site without our prior written consent; use automated tools to scrape, harvest, or systematically collect content or contact information; submit false, misleading, or fraudulent information through any form; transmit malware or any other harmful code; or use the Site in violation of any applicable law or regulation.

We may suspend or block access to the Site, without notice, for conduct we reasonably believe violates these Terms or threatens the security of the Site or its users.

Information you submit

When you submit the contact form or any other form on the Site, you represent that the information you provide is accurate and that you are authorized to provide it.

Do not submit confidential, proprietary, or regulated information through this Site. The contact form is intended for a brief description of the process or challenge you want to discuss. Do not include protected health information, non-public financial data, personal information of third parties, trade secrets, or anything subject to a confidentiality obligation. Information submitted through the Site is not received under any obligation of confidentiality unless we have a signed agreement in place that provides otherwise.

Sensitive material should be exchanged only during a Discovery Session or engagement conducted under an appropriate written agreement.

Calculators and interactive tools

The Site may offer calculators, estimators, and similar interactive tools. These tools generate illustrative estimates based solely on the values you enter. They are provided for general informational purposes and to support an initial conversation.

Outputs from these tools are not a quote, a proposal, a binding offer, a projection of results, or professional advice of any kind. Actual costs, savings, timelines, and outcomes depend on factors the tools do not model, including your specific systems, processes, data quality, regulatory obligations, and deployment scope.

Do not rely on any output from these tools as the basis for a business, financial, purchasing, or compliance decision. Verify all inputs and assumptions, and consult qualified advisors, before acting.

Intellectual property

The Site and its contents — including text, graphics, logos, page design, methodology descriptions, and software — are owned by StarGentic or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may view, download, and print Site content for your own internal evaluation purposes. You may not otherwise reproduce, republish, distribute, modify, create derivative works from, or commercially exploit Site content without our prior written permission.

"StarGentic," our logo, and our taglines are trademarks of StarGentic. You may not use them without our prior written consent. Any third-party marks appearing on the Site belong to their respective owners.

If you send us feedback, suggestions, or ideas about our services or the Site, you grant us a non-exclusive, royalty-free, perpetual right to use them without restriction or compensation.

No professional advice; no reliance

Content on the Site — including descriptions of regulatory frameworks such as GLBA, BSA/AML, HIPAA, NERC CIP, DOT/PHMSA, ISO 9001, FERPA, and others — is provided for general information only.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, STARGENTIC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF — OR INABILITY TO USE — THE SITE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE AND THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

These limitations apply to your use of the Site only. Liability arising from a signed engagement agreement is governed by that agreement. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

Indemnification

You agree to indemnify and hold harmless StarGentic and its officers, members, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site, your violation of these Terms, your violation of any applicable law, or your infringement of any third party's rights.

Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of those courts.

If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it.
